Under applicable Canadian franchise legislation, Y2C Holdings Inc. must provide you with this document at least 14 days before you sign any contract or pay any money.가맹본부는 대한민국 법에 의하여 설립된 주식회사 와이투씨홀딩스입니다. 당사는 원 상표권자인 신전푸드시스로부터 캐나다 내 "신전떡볶이" 매장을 개설 및 운영할 수 있는 마스터 프랜차이즈 권한을 부여받았습니다.
The Franchisor is Y2C Holdings Inc., established under the laws of the Republic of Korea. We operate directly from South Korea and hold the Master Franchise Rights granted by Sinjeon Food Sys.이윤지 이사: 글로벌 프랜차이즈 확장 및 운영 총괄. 글로벌 SCM 및 북미 비즈니스 운영 분야의 전문성을 바탕으로 해외 가맹점주에게 탄탄한 물류 지원 및 현지화 전략을 제공합니다.
Yoon-ji Lee, Director: Ms. Lee oversees global franchise expansion, bringing extensive experience in global Supply Chain Management (SCM) and North American business operations.당사와 임원진은 현재 캐나다, 대한민국 또는 기타 관할권에서 중대한 소송, 중재 또는 파산 절차에 연루되어 있지 않습니다.
Neither Y2C Holdings Inc. nor its directors are currently involved in any material litigation, arbitration, or bankruptcy proceedings.가맹점사업자는 다음의 초기 비용을 지급해야 합니다. [순지급 조항]: 모든 지급액은 세금이나 은행 수수료 공제 없이 지급되어야 하며, 캐나다 세법상 원천징수 시 가맹점사업자는 지급액을 인상(Gross-up)해야 합니다.
The Franchisee is required to pay the following fees. [Gross-up Clause]: All payments must be made free of tax deduction. If Canadian tax law requires withholding, Franchisee must gross up the payment.1) 경영지도 수수료: 매월 순매출액(Net Sales)의 4%. 이는 SCM 물류 및 IT 원격 전문 서비스에 대한 보수입니다. (단, 얼리버드 프로모션 대상 점포는 3.5% 별도 적용)
1) Management & Support Fee: 4% of Net Sales per month. Compensates for remote professional services from South Korea. (3.5% if Early Bird applies)2) 마케팅 및 광고비: 0%. 당사는 타 프랜차이즈가 요구하는 본사 차원의 마케팅 및 광고 기금(Advertising Fund)을 별도로 수취하지 않습니다.
2) Advertising Fee: 0%. Unlike other franchises, we do not collect any national marketing or advertising funds.가맹점사업자에게는 승인된 위치로부터 특정 반경의 독점 영업 지역이 부여되며, 해당 구역 내 타 가맹점 개설은 금지됩니다.
The Franchisee is granted an exclusive territory from the specific "Approved Location". The Franchisor will not establish another franchise within this territory.품질 유지를 위해 지정된 독점 식자재 및 소모품을 본사 유통 마진이 없는(0% Margin) 본사 다이렉트 물류망 또는 승인된 공급업체로부터만 독점적으로 구매해야 합니다.
To maintain brand standards, the Franchisee must purchase designated proprietary ingredients exclusively from our zero-margin SCM or approved suppliers.초기 계약 기간은 3년이며 자동 갱신되지 않습니다. 모든 분쟁은 대한민국 서울에서 대한상사중재원(KCAB) 국제중재규칙에 따라 해결됩니다.

The "Franchisor" is Y2C Holdings Inc., a corporation duly established under the laws of the Republic of Korea, with its principal office in Busan, Republic of Korea.“가맹점사업자”는 캐나다 법령에 의해 설립되어, 캐나다 주(Province)에 본점의 사무소를 두고 있는 이다.
The "Franchisee" is a corporation duly established under the laws of Canada, with its principal office in the above Province, Canada.“가맹본부”는 “가맹점사업자”에게 “신전떡볶이” 캐나다 점포의 프랜차이즈 가맹점 계약을 실행하고, 양측은 상호 일치하는 이해관계를 전제로 진지하고 원만한 협의를 거쳐서 일자로 아래와 같이 계약을 체결한다.
The Franchisor desires to grant to the Franchisee the right to operate a "Sinjeon Tteok-bokki" franchise store at the above location. The parties agree to enter into this Agreement on the date above.1. "가맹본부"의 보증: 원천 상표권자인 대한민국 '신전푸드시스'로부터 캐나다 지역 내 가맹점 개설 및 영업 관리에 관한 마스터 프랜차이즈 권한을 적법하게 부여받은 권리자로서 본 계약을 체결하며, 국제법과 대한민국의 법령을 준수한다.
1. The Franchisor executes this Agreement directly as the legitimate holder of the Master Franchise rights granted by Sinjeon Food Sys, the original trademark owner in Korea.2. "가맹점사업자"의 보증: 타 글로벌 프랜차이즈 또는 경쟁 브랜드와 이해상충(Conflict of Interest)이 발생하는 어떠한 계약 관계에도 얽혀 있지 아니하며, 본 사업을 수행할 인적, 물적 능력을 확보하고 있다.
2. The Franchisee is not currently involved in any contractual relationship with competing brands that may cause a Conflict of Interest, and has secured sufficient resources.제 1 조 [가맹점의 표시 / Store Indication]
제 2 조 [가맹점운영권의 부여 및 지식재산권 보호 / Grant of Rights and IP]
가맹본부가 제공하는 브랜드 컨셉, 인테리어 디자인(Trade Dress), 레시피 등 일체의 무형 자산은 가맹본부에 독점적으로 귀속되며, 가맹점사업자는 이를 타 프랜차이즈나 개인 사업에 절대 유용할 수 없다.
All intangible assets, including brand concepts, Trade Dress, and recipes provided by the Franchisor belong exclusively to the Franchisor. The Franchisee shall never misappropriate them.제 3 조 [계약기간 / Term of Agreement]
이 계약은 부터 까지 총 3년간으로 한다. 본 계약은 자동 갱신되지 아니하며, 갱신 시 양 당사자의 명시적인 서면 합의가 필요하다.
This Agreement shall be effective for a period of 3 years. It is not automatically renewed, and any renewal requires written mutual consent.제 4 조 [최초가맹금 / Initial Fees]
제 5 조 [경영지도 수수료 및 광고비 / Ongoing Fees & Ad Fee]
가맹점사업자는 가맹본부가 제공하는 실질 경영 자문 및 물류망 유지 대가로, 매월 순매출액(Net Sales)의 4%를 익월 5일까지 가맹본부에게 전액 입금하여야 한다. 가맹본부는 본사 차원의 별도 광고기금(Ad Fund)을 가맹점에게 청구하지 아니한다.
The Franchisee shall remit 4% of Monthly Net Sales to the Franchisor by the 5th day of the following month for management services. No national advertising fee will be charged.제 6 조 [환율 변동 및 세금 대납 강제 / Gross-up & Currency Protection]
캐나다 과세관청(CRA) 규정에 의하여 원천징수세(Withholding Tax)가 부과될 경우, 가맹점사업자는 해당 세금을 자비로 대납(Gross-up)하여야 하며, 가맹본부의 실 수령액은 삭감되지 아니한다.
If any withholding tax is imposed under Canadian laws, the Franchisee MUST gross up the payment at its own expense so the Franchisor's net received amount is not reduced.제 7 조 [필수 물류 조달 / Mandatory SCM Procurement]
가맹사업의 품질 유지를 위하여 가맹점사업자는 가맹본부가 마진 없이(0% Margin) 직공급하는 필수 원·부재료 망을 통해서만 독점 조달해야 한다.
To maintain quality, the Franchisee must procure mandatory ingredients exclusively from the Franchisor's zero-margin supply chain or approved vendors.제 8 조 [듀얼 브랜딩 및 공유주방 원천 금지 / Anti-Dual Branding]
가맹점사업자는 승인된 본 건 매장의 주방 및 설비를 이용하여 타 브랜드의 음식을 조리, 판매, 배달(공유주방 형태 포함)하는 행위를 절대 할 수 없다. 타 브랜드 제품 교차 홍보 또한 금지된다.
The Franchisee is strictly prohibited from cooking, selling, or delivering food of any other brand (including ghost kitchens) using the approved store's kitchen.제 9 조 [우선매수권 / Right of First Refusal]
영업권 양도 시, 타 글로벌 프랜차이즈 기업으로의 양도는 엄격히 금지되며 가맹본부는 우선매수권을 가진다.
Transfer to competing global franchises is strictly prohibited. The Franchisor has the Right of First Refusal.제 10 조 [계약의 해지 / Termination]
가맹본부는 수수료를 2개월 이상 연체하거나, 매출 축소 보고, 비승인 식자재 몰래 사용 시 즉시 계약 해지를 할 수 있다.
The Franchisor may immediately terminate this Agreement for late fee payments, under-reporting sales, or using unapproved ingredients.제 11 조 [비밀유지 및 경업금지 / Confidentiality & Non-Compete]
계약 종료 후 향후 5년간 가맹본부의 사전 승인 없이 캐나다 내 타 외식 프랜차이즈(한국식 분식 등)에 관여할 수 없다.
During the term and for 5 years post-termination, the Franchisee shall not invest or manage any competing food franchise in Canada.제 12 조 [준거법 및 국제중재 / Governing Law & KCAB Arbitration]
본 계약의 해석은 대한민국 법률을 따르며, 관련된 모든 분쟁은 대한민국 서울에 소재하는 대한상사중재원(KCAB)의 국제중재규칙에 따라 중재로 최종 해결한다. 패소자는 중재 비용 및 변호사 수임료 일체를 배상하여야 한다.
All disputes shall be finally settled by arbitration in Seoul, Korea, in accordance with the International Arbitration Rules of the KCAB.제 13 조 [특약사항 / Special Provisions]
