본 비밀유지계약서(이하 "본 계약")는 주식회사 와이투씨홀딩스(이하 "가맹본부")와 가맹 희망자(이하 "가맹점사업자") 간에 체결된다.
This Agreement is entered into by and between Y2C Holdings Inc. ("Franchisor") and the Applicant ("Franchisee").
"비밀정보"란 가맹본부가 가맹 희망자에게 제공하는 레시피, 재무 데이터, 비즈니스 플랜, 운영 매뉴얼 등 일체의 유형 및 무형의 영업비밀을 의미한다.
"Confidential Information" shall mean all tangible and intangible trade secrets, including recipes, financial data, business plans, and operational manuals disclosed by the Franchisor to the Applicant.가맹 희망자는 가맹본부의 사전 서면 동의 없이 본 비밀정보를 제3자에게 유출하거나, 본 가맹사업 평가 외의 다른 개인적, 상업적 목적으로 유용할 수 없다.
The Applicant agrees not to disclose, share, or use any Confidential Information for any commercial purpose other than evaluating this franchise opportunity without prior written consent.본 비밀유지 의무는 가맹계약이 최종적으로 체결되지 않더라도, 정보를 제공받은 날로부터 5년간 유효하게 존속된다.
This obligation of confidentiality shall survive for a period of five (5) years from the date of disclosure, regardless of whether the Franchise Agreement is ultimately executed.본 계약을 위반하여 비밀정보를 무단 유출하거나 유용할 경우, 가맹본부는 즉각적인 법적 조치 및 민형사상 손해배상을 청구할 수 있다.
Any unauthorized disclosure or use of the Confidential Information may result in immediate legal action and claims for civil and criminal damages by the Franchisor.본인은 위 비밀유지계약서의 내용을 읽고 충분히 이해하였으며, 이에 법적으로 구속됨에 동의합니다.
I have read, understood, and agree to be bound by the terms of this Non-Disclosure Agreement.
